Terms of Service

1. Introduction

Welcome to Zebra Design. These Terms of Service govern design services provided by Speech Bubble Marketing Limited, a company registered in the United Kingdom ("we", "us", "our").

By accepting a project proposal, you agree to be bound by these terms.

2. How We Work Together

Zebra Design provides UX design services including Vibe Sprints. Each project is defined by its own proposal document, which forms part of this agreement and details the specific scope, deliverables, and timelines.

Project Stages

At the end of each project stage, we'll ask you to confirm sign-off before moving to the next stage. Once a stage is signed off, any further changes to that stage are chargeable as additional work.

Proceeding to the next stage (for example, starting the next sprint) counts as confirmation that the previous stage is approved. If you have any concerns about a completed stage, you must notify us before work on the next stage begins.

3. Your Responsibilities

To help us deliver great work, we ask that you:

  • Provide timely feedback and approvals (delays may affect project schedules)
  • Ensure any materials you provide are properly licensed or owned by you
  • Participate meaningfully in collaborative sessions

You agree to hold us harmless from any claims arising from materials you provide.

4. Payments

Payment terms and schedules are set out in each proposal and invoice. Work and dates aren't confirmed until upfront payments are received. We accept bank transfer and online payment.

5. Changes to Scope

You can request changes anytime. Changes beyond the agreed scope may need requoting. We keep it simple: a written note via email confirms a change request.

6. Intellectual Property

Your Ownership

Upon full payment, the design deliverables become yours. They're created as work-for-hire on your behalf.

Our License to Reuse Patterns

You grant Zebra Design a perpetual, non-exclusive, royalty-free license to use, adapt, and apply any design patterns, interface components, or UX approaches from your project in our work for other clients.

This license does not extend to your company name, brand, logos, or specific imagery—those remain exclusively yours.

Why this matters: It allows us to apply design learnings across our practice, benefiting all our clients, while your unique brand identity stays protected. If we were to make UX patterns and design approaches exclusive to each project, we would need to charge considerably more for that exclusivity.

Third-Party Assets

Some deliverables may include assets under open-source or Creative Commons licenses. We'll provide license details on handover; please verify they meet your needs.

Portfolio

We may showcase work in our portfolio unless otherwise agreed. We're happy to discuss timing preferences.

7. Confidentiality

We treat your business information, project details, and deliverables as confidential. We won't share them with third parties without your consent.

8. Warranties & Liability

We deliver our services with care and skill, using qualified people.

Limited Warranties

We warrant only that:

  • We have the right and authority to provide these services
  • Deliverables are original or properly licensed from third parties
  • Deliverables (excluding materials you provide) won't knowingly infringe third-party rights
  • Deliverables contain no intentional malicious code or features designed to disable them
  • Our team members have appropriate agreements assigning IP rights to us

No Fitness Warranty

Deliverables are provided "as is". We make no warranty that deliverables will be fit for any particular purpose, suitable for your specific use case, error-free, or that any code will function correctly in your environment. This applies to all deliverables including designs, prototypes, and code.

Your Responsibilities on Handover

  • You're responsible for thoroughly testing and verifying all deliverables before use
  • You're responsible for ensuring deliverables are suitable for your intended purpose
  • You agree to indemnify us against claims arising from materials you provide

Limitation of Liability

  • We're not liable for bugs, performance issues, security vulnerabilities, or project failures after handover
  • We're not liable for any issues arising from code running in your systems or infrastructure
  • We're not liable for timeline delays, though we make reasonable efforts to meet them
  • We're not liable for indirect or consequential losses (lost profits, revenue, business interruption, data loss, security breaches, etc.)
  • We may recommend updates over time (for legislation, software changes, security patches, etc.) but aren't liable if we don't
  • We may use trusted subcontractors where needed

9. Termination

  • Either party can end the agreement with 2 weeks' written notice
  • Payment is still due for work completed before termination
  • No refunds for booked time: If work has been scheduled and paid for, we cannot refund that payment—booking time means we've reserved availability that could have gone to other clients
  • We can terminate immediately if there's a material breach

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be handled in the courts of England and Wales.
